About

WhiteFiber is a leading provider of artificial intelligence (“AI”) infrastructure solutions. The company owns high-performance computing (“HPC”) data centers and delivers cloud-based HPC graphics processing unit (“GPU”) services—referred to as its cloud services—to customers such as AI application and machine learning (“ML”) developers (collectively, the “HPC Business”). WhiteFiber’s Tier-3 data centers also offer hosting and colocation services, with cloud services tailored to support generative AI workloads, particularly training and inference.

WhiteFiber is currently being carved out of Bit Digital, Inc. and will operate as an independent public company upon the completion of this offering.

Beginning in October 2024, WhiteFiber significantly enhanced its data center capabilities through the acquisition of Enovum, a Tier-3 HPC data center platform headquartered in Montreal, Canada. The company now operates a 4 MW (gross) AI data center in Montreal (“MTL-1”), a fully operational Tier-3 facility built for HPC workloads. As of May 30, 2025, MTL-1 is fully occupied by 14 customers under lease agreements averaging approximately 30 months in duration.

On December 27, 2024, WhiteFiber acquired the real estate and building for a build-to-suit 5 MW (gross) Tier-3 data center expansion in Montreal, designated “MTL-2.”

Further expanding its footprint, WhiteFiber announced on April 11, 2025, that it had secured the rights to a new data center site in Saint-Jérôme, Québec, a suburb of Montreal. This facility, “MTL-3,” will be a 7 MW (gross) Tier-3 data center. Subject to regulatory approvals, MTL-3 will support a previously announced 5 MW (IT load) colocation agreement with Cerebras Wafer Scale ULC Systems (“Cerebras”), a recognized leader in generative AI infrastructure.

On May 20, 2025, WhiteFiber acquired a former industrial/manufacturing facility and its underlying land near Greensboro, North Carolina (the “Property”). The company plans to retrofit the facility into an HPC data center (“NC-1”). Under a Capacity Agreement between Enovum and Duke Energy, Duke Energy has committed to using commercially reasonable efforts to deliver 24 MW (gross) of power to the Property by September 1, 2025, 40 MW (gross) by April 1, 2026, and 99 MW (gross) within four years of May 16, 2025.
